Terms of Service

1. Acceptance of Terms

By accessing or using the Karwaanlive platform (the "Service"), including the mobile application and website located at karwaanlive.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Who We Are

Karwaanlive is a music IP licensing platform that connects independent artists with brands seeking original music for campaigns, sync licensing, and branded content. We are operated by Karwaanlive Technologies Pvt. Ltd., incorporated in India.

3. Artist Accounts

To submit music to the platform, you must create an artist account. By creating an account, you confirm that:

• You are at least 18 years old, or have the consent of a legal guardian.
• The information you provide is accurate and up to date.
• You are the legal owner or authorised licensor of all music you submit.
• You will keep your account credentials confidential.

4. Intellectual Property & Music Submissions

Submitting music to Karwaanlive does not transfer ownership of your intellectual property. You retain full copyright over all submitted works at all times.

By submitting music, you grant Karwaanlive a limited, non-exclusive, royalty-free licence to:

• Display your song metadata, cover art, and audio previews to prospective brand partners.
• Share your submission with brands who have expressed interest.
• Contact you regarding licensing opportunities.

This licence terminates automatically if you remove your submission from the platform. No licensing deal becomes binding without your explicit written approval.

5. Platform Fees

Karwaanlive charges a platform fee of 1% (one percent) of the total licensing fee agreed between you and a brand partner. This is our only fee. There are no subscription charges, no listing fees, and no hidden deductions.

Payments are processed within 5 business days of deal closure. You will receive 99% of the agreed licensing fee directly to your registered bank account.

6. Prohibited Conduct

You must not:

• Submit music that you do not own or are not authorised to licence.
• Submit music that infringes the copyright, trademark, or other rights of any third party.
• Use the platform to distribute malware or engage in fraudulent activity.
• Attempt to reverse-engineer or circumvent any security measures of the Service.
• Misrepresent your identity or affiliation with any person or entity.

7. Distribution Partners

Karwaanlive offers optional music distribution to streaming platforms (Spotify, Apple Music, etc.) through third-party distribution partners including The Orchard, Believe, Ditto, and PDL India. Distribution is subject to those partners' own terms and conditions. Karwaanlive is not responsible for actions taken by distribution partners.

8. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms. You may close your account at any time by contacting us. Upon account closure, your active pitches will be withdrawn and any pending licensing negotiations will be terminated.

9. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. Karwaanlive does not guarantee that any music submission will result in a brand deal, or that any specific amount of licensing revenue will be earned.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Karwaanlive shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

11. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice within the app. Continued use of the Service after changes constitutes acceptance of the revised Terms.
